These Terms govern access to and use of the Medfin AI Platform (the “Service”). By creating an account or using the Service, you agree to these Terms on behalf of your organisation.

1) Who we are

1.1 Medfin AI Ltd (“Medfin”, “we”, “us”), company no. 15891454, registered office WeWork, 5 Merchant Square, London, W2 1AS.

1.2 “You” or “Customer” means the organisation that registers for or signs an order to use the Service.
‍
1.3 These Terms are for business use only.

2) Using the Service

2.1 We grant Customer a non-exclusive, non-transferable, non-sub-licensable licence for its Authorised Users to access and use the Service for internal business purposes during the Term.

2.2 The Service provides informational analytics for dental clinics and does not constitute clinical, legal, tax or financial advice.
‍
2.3 You must not use the Service for any purpose other than as permitted by these Terms, and you must not attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Service except to the extent permitted by law.

2.4 Features may change or be improved from time to time. No commitment is given as to the continuity of any specific feature.

3) Accounts & access

3.1 We will provision an admin account at the end of the onboarding process. Admins can configure clinic settings and invite/manage users and permissions.

3.2 You must ensure Authorised Users keep credentials confidential and do not disclose them to any third party; strong passwords (and MFA where available) must be used.
‍
3.3 We may disable any username or password at any time, at our sole discretion, for security reasons or to safeguard the Service.
‍
3.4 You must take all reasonable precautions to prevent unauthorised access to, or use of, the Service and promptly notify us of any suspected unauthorised access or use.

3.5 Throughout the Term, you will:
‍
3.5.1 comply with these Terms and all applicable laws and regulations regarding use of the Service;
‍
3.5.2 not use the Service: (i) to access, store, distribute or transmit any virus; (ii) to access, store, distribute or transmit any material that is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; (iii) in a manner that is illegal or causes damage or injury to any person or property; (iv) to infringe any copyright, database right or trademark of any person; (v) to transmit or send any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation; or (vi) to interfere with or attempt to interfere with or compromise the Service’s integrity or security.

3.5.3 not conduct penetration testing or vulnerability scanning of the Service without our prior written consent.

4) Fees & payment

4.1 The Customer pays a monthly subscription fee (the “Subscription Fee”) monthly in advance. The applicable fee is shown in your order form or at sign-up.

4.2 Prices are exclusive of VAT and other applicable taxes.

4.3 Invoices are due 30 days from invoice date or are collected automatically from the payment method on file. We may suspend the Service for non-payment after 14 days’ prior notice to remedy.
‍
4.4 We may change fees on 30 days’ written notice, effective from the next billing period. If you do not agree, you may terminate before the change takes effect.
‍
4.5 Except where required by law, fees are non-refundable (including for partial months).
‍
4.6 No set-off: amounts due must be paid in full without set-off or deduction, except as required by law.

5) Data protection & privacy

5.1 For personal data processed in the Service, Customer is the controller and Medfin is the processor.

5.2 Our Data Processing Addendum (DPA) forms part of these Terms.
‍
5.3 Customer confirms it has a lawful basis (and an Article 9 condition for health data where applicable).
‍

6) Confidentiality & security

6.1 Each party will keep confidential all information and trade secrets relating to the other’s business which come into its possession under these Terms, including any patient data (“Confidential Information”), and will not disclose such Confidential Information to any third party or use it other than to perform these Terms.

6.2 Clause 6.1 does not apply to information that: (i) is or becomes publicly available other than through breach of these Terms; (ii) is already known by the recipient or becomes known from a third party without breach of any duty of confidence; or (iii) is required to be disclosed by law or regulation, to the extent and for the purpose of that disclosure.

6.3 We may disclose Confidential Information to our employees and contractors who need access for the purposes of these Terms and who are bound by confidentiality obligations no less strict than those in this Section 6.
‍
6.4 Upon written request, each party will return or destroy the other party’s Confidential Information in its possession or control (except where retention is required by law, in which case it will be protected and then deleted when no longer required).

7) Third-party services & integrations

7.1 Some features rely on third-party services (e.g., PMS providers such as Dentally or SOE). You authorise us to access and process data from those services to provide the Service.

7.2 We are not responsible for the availability, performance or limitations of third-party services.

8) Intellectual property

8.1 You do not obtain any rights in or to the Service; all existing and future rights, title and interest in and to the Service are reserved to us and our licensors.

8.2 If you provide feedback on the Service, we may use it freely, and we will own any rights subsisting in such feedback.

9) Warranties & disclaimers

9.1 We warrant that we have the right to provide the Service and will comply with applicable law in doing so.
‍
9.2 The Service is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we exclude all implied warranties, including satisfactory quality, fitness for a particular purpose and non-infringement, and we do not warrant that the Service will be uninterrupted or error-free or that outputs will meet your requirements.

10) Liability

10.1 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be limited or excluded by law.

10.2 We will not be liable for indirect or consequential loss, or for loss of profits, revenue, goodwill, anticipated savings or data.
‍
10.3 Our total aggregate liability under or in connection with these Terms (whether in contract, tort or otherwise) is limited to the fees paid by you in the twelve (12) months prior to the event giving rise to the claim.

11) Term & termination

11.1 These Terms start on account creation, direct debit mandate setup, or order signature and continue until terminated (the “Term”).
‍
11.2 Either party may terminate these Terms with immediate effect by written notice if the other party: (i) commits a material breach and, if remediable, fails to remedy it within 30 days of notice; or (ii) becomes insolvent or suffers an insolvency event with a material impact on its business.
‍
11.3 On termination or expiry, your access ends. For 90 days thereafter you may request a secure export of your data; we will then delete your data in line with our deletion routines, subject to legal retention.
‍
11.4 Any provision intended to continue after termination will remain in full force and effect.

12) Marketing & case studies

12.1 You agree that we may identify you by name and logo as a customer and create a case study. You may opt out at any time by emailing support@medfin.ai, we will cease new uses and make reasonable efforts to remove references over time.

13) Changes

13.1 We may update these Terms. If a change materially reduces your rights, we will give 30 days’ notice. If you object, you may terminate before the change takes effect; continued use after the effective date constitutes acceptance.

14) General

14.1 Assignment: Neither party may assign these Terms without the other’s consent, except we may assign to an affiliate or in connection with a merger or sale.

14.2 Force majeure: No party is liable for delays outside its reasonable control (including internet/provider outages). Payment obligations still apply.
‍
14.3 No waiver; severability; entire agreement: No failure or delay to enforce any right is a waiver of it. If any provision is unenforceable, the remainder remains in effect. These Terms constitute the entire agreement regarding the Service.

14.4 Third-party rights: No rights for third parties under the Contracts (Rights of Third Parties) Act 1999.
‍
14.5 Governing law & courts: England & Wales; exclusive jurisdiction of the English courts.
